Insurance

Our insurance practice draws upon the talents of lawyers with extensive insurance industry experience (some as in-house counsel) to serve insurance regulators, insurance companies and agents.   Members of our firm have extensive experience in insurance company receivership matters in multiple jurisdictions, including: statutory and regulatory analysis of receivership statutes, holding company acts, and model acts, and issues relating to captive insurance company receiverships.  Our lawyers review and analyze insurance company transactions and documentation, and advise insurer clients on transfers of insurance business and corporate charters; on licenses, security and escrow arrangements; and on deferrals of assessments and related matters.   We have particular strength in reinsurance matters, including review of reinsurance treaty programs and drafting of treaties, evaluation coverage issues, and billing and collection of reinsurance claims.  Our insurance clients include American Policyholders Insurance Company, Commonwealth Insurance Company, General Reinsurance, Guardian Life Insurance Company of America, and Manulife.    

Handling insurance controversies is a major part of our practice.  We represent insurance regulators in their capacities as receivers of various troubled insurance companies and HMOs.  This work has included structuring the liquidation or reorganization of insurance companies, the sale of insurance companies, blocks of business and other assets, the collection of reinsurance, and litigation related to the commencement and course of insurer receiverships.  In the firm’s representation of a State Commissioner of Insurance (as receiver), one of our partners has handled negotiations with an international syndicate of creditors, managing relationships with investment bankers, dealings with the Federal bankruptcy court and trustee, and advising on other general corporate, bankruptcy and securities matters.  In this capacity, we have also participated in the reorganization of several insurance company affiliates, including the sale of a major subsidiary and other general corporate and securities matters. In representing a Foreign Superintendent of Insurance as liquidator of a multinational insurance company, we spearheaded the sale of certain of the insurance company’s affiliates and assets.
