Practice Focus

Maura E. Murphy is a Director of Rackemann, Sawyer & Brewster and is a member of the Business Law Department, the Employment Law Group, the Tax Exempt Organization Group, and the Tax Practice Group.  She provides general corporate and tax advice to for-profit and nonprofit entities and provides employment advice to both business and executives.

Notable Experience

Legal matters in which Maura has expertise include:

Representing start-up companies in choice of business entity, establishment of capital structure and obtaining initial financing;

Representing large and small businesses in commercial transactions, including: private placement of securities; asset-based financing; purchase and sale of privately owned companies; and consulting, license, joint venture and other agreements;

Providing tax, employment and business advice to charitable organizations, ranging from a local soup kitchen to a major international animal welfare organization, including:  obtaining tax-exempt status; complying with statutory and regulatory restrictions on lobbying and political activity, excess benefit transactions and unrelated trade or business income; fundraising; and fulfilling annual federal and state filing requirements;

Representing real estate developers in complex transactions, including syndication of real estate partnerships and tax-deferred like kind exchanges;

Advising for-profit and non-profit entities and corporate executives on all aspects of employment law; including: negotiating and drafting complex employment, non-competition and separation agreements; providing advice regarding employee termination and employment discrimination; assisting in the adoption and implementation of personnel policies and procedures; assisting clients in responding to employee complaints, including complaints of harassment and discrimination; and representing employers at the Massachusetts Commission Against Discrimination and the U.S. Equal Employment Opportunity Commission;

Providing tax advice to businesses on a variety of issues such as forming and structuring business entities, structuring executive compensation, and planning corporate transactions.
